Terms + Conditions

Effective date: February 1, 2026

Last updated: October 23, 2026

1. About These Terms

These Terms and Conditions (“Terms”) govern use of https://transformationdiagnostic.com (the “Site”), its publicly available content and resources, and strategy session bookings with JD PALLAS Consulting, LLC (“we,” “us,” or “our”), a Transformation Dot, Inc. affiliate.

Please read these Terms before using the Site or booking a session. When you accept these Terms through a form, booking process, or checkout that expressly references them, you agree to be bound by them. If you do not agree, do not complete that transaction. The notices below also describe the permissions and restrictions applicable to Site content.

You must be at least 18 and legally able to enter into an agreement to book or purchase services. If you enter an agreement on behalf of an organization, you represent that you have authority to do so.

Our Privacy Policy at https://transformationdiagnostic.com/privacy-policy explains our personal information practices. Accepting these Terms does not constitute consent to optional marketing, optional cookies, or meeting recording.

2. What The Site Provides

The Site describes our transformation diagnostic and advisory services, provides general business information, and allows visitors to request information or book a strategy session. We may update Site content and service descriptions over time.

Submitting an inquiry, booking a strategy session, or receiving a proposal does not create a diagnostic or advisory engagement. An engagement begins only as stated in a separate written agreement accepted by both parties.

3. Strategy Sessions

A complimentary strategy session is generally a 30-minute conversation to discuss your situation, assess fit, and identify possible next steps. It does not include a complete diagnostic, a formal assessment report, or implementation services. We may decline or cancel a booking that does not meet our published eligibility criteria or is outside our service scope.

You are responsible for providing accurate contact information, selecting the correct time zone, and using the meeting details provided. If you have a connection problem or cannot attend, contact info@jdpallas.com as soon as possible.

The following rules apply to complimentary strategy sessions:

  • Requests made at least 24 hours before the scheduled start time may be rescheduled up to twice.

  • A request made less than 24 hours before the scheduled start time may be accommodated once, subject to availability.

  • If you do not attend and do not contact us before the scheduled start time, you lose eligibility for another complimentary strategy session. Any subsequent strategy session must be booked through the paid booking option at $250 USD, payable in advance.

The $250 is the price of a future paid session. It is not an automatic charge or a penalty billed for missing a complimentary session. We will not charge you without your authorization. We may make reasonable exceptions for emergencies or circumstances outside your control.

If we cancel or need to reschedule, we will offer an alternative time. For a paid session we cancel, you may choose a replacement time or a full refund.

For paid sessions, any additional cancellation, rescheduling, or refund conditions will be clearly presented before payment and form part of that booking. If no additional cancellation terms are presented and accepted, you may cancel before the scheduled start time for a full refund. Mandatory rights under applicable law remain in effect.

4. Diagnostic + Advisory Engagements

Paid diagnostic, playbook, advisory, and other professional services require a separate service agreement and, where applicable, a statement of work. Those documents establish scope, deliverables, responsibilities, timing, fees, payment milestones, acceptance, confidentiality, intellectual property rights, cancellation, and remedies.

A separately executed agreement controls over these Terms if they conflict concerning that engagement. These Terms do not replace or expand the scope of an engagement agreement, alter its payment or file-release conditions, or create a guarantee absent from that agreement. References to a 30-day diagnostic describe the offered delivery period subject to the start conditions, client participation, and dependencies specified in the engagement agreement.

5. Information + Decisions

Site content and strategy session discussions provide general business information and preliminary perspectives. They may not account for all facts relevant to your organization. A formal diagnostic requires the evidence gathering and analysis included in a contracted engagement.

Our services do not provide legal, tax, investment, medical, or mental health advice. You should involve appropriately qualified professionals when those matters arise. You remain responsible for your organization’s decisions, approvals, implementation, and compliance obligations.

We do not promise a particular financial return, cost saving, transformation success rate, or other business result unless a separate signed agreement expressly provides a specific commitment. Outcomes depend on circumstances including evidence quality, organizational decisions, resources, participation, and execution. This does not excuse us from performing agreed services with the care required by law or contract. Research findings, case studies, and testimonials reflect their stated context and do not guarantee your results; material relationships will be disclosed where required.

6. Your Submissions + Confidentiality

You must have authority to provide any information or materials you submit and must not violate another person’s privacy, intellectual property, or confidentiality rights. Please provide only information relevant to your request.

Public inquiry forms and initial strategy sessions are not a substitute for a mutual nondisclosure agreement. Please do not submit trade secrets, privileged communications, regulated information, or unnecessary employee information through public forms. If confidential materials are needed, we will agree on appropriate confidentiality and transmission arrangements first.

You retain your rights in your submissions. You authorize us to use them only as reasonably necessary to respond to your request, administer the relationship, or provide agreed services, subject to applicable privacy and confidentiality obligations. Submission does not grant us permission to publish your materials, use your name or logo in marketing, or claim ownership of your business information.

7. Intellectual Property + Permitted Use

Unless stated otherwise, the Site and its original text, graphics, frameworks, methodologies, templates, and other materials are owned by us or our licensors and protected by intellectual property laws. Third-party names and marks belong to their respective owners.

You may view the Site and use publicly provided resources for your personal reference or your organization’s internal evaluation of our services. Any express license supplied with a downloadable resource controls that resource. Keep ownership notices intact.

Without written permission, you may not reproduce substantial portions of our materials, distribute or resell them, publish proprietary templates or tools, or use them to create a competing commercial product. These restrictions do not limit uses protected by applicable law, including fair use. Ownership and permitted use of paid deliverables are governed by the engagement agreement.

8. Acceptable Use

You must not misuse the Site or connected services. Prohibited conduct includes impersonation, fraudulent submissions, harassment, introducing malicious code, attempting unauthorized access, interfering with security or availability, harvesting personal information, or using automated tools in a way that disrupts the Site or infringes legal rights.

We may restrict access or refuse bookings where reasonably necessary to address abuse, protect security, or comply with law. Doing so does not eliminate any applicable refund obligation or contractual right.

9. Third-Party Services

The Site may include links, embedded forms, scheduling tools, payment services, or other features supplied by third parties. Your direct use of those services may be subject to their terms and privacy notices. A link does not imply endorsement of every statement or practice of the linked service.

We do not control third-party systems and cannot guarantee their availability. This does not limit responsibilities that applicable law or a signed agreement places on us for the providers we use.

10. Website Availability + Disclaimers

We take reasonable care in maintaining the Site but do not warrant that it will always be available, uninterrupted, error-free, or free of harmful components. Content may become outdated, and we may correct errors or suspend features for maintenance or security.

To the fullest extent permitted by law, the Site and its general informational content are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. This disclaimer does not override an express commitment in a signed agreement or a right or warranty that cannot lawfully be excluded.

11. Limits On Liability

To the fullest extent permitted by law, neither party is liable to the other under these Terms for indirect, incidental, special, or consequential damages, including lost profits, lost opportunities, or business interruption.

To the fullest extent permitted by law, our total aggregate liability arising from the Site or a strategy session covered by these Terms is limited to the greater of $100 USD or the amount you paid us for the specific strategy session giving rise to the claim. Liability for a diagnostic or advisory engagement is governed by its separate signed agreement.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or any liability that applicable law prohibits us from limiting or excluding. They do not remove mandatory privacy, consumer protection, or other statutory rights, or any refund expressly owed under these Terms. Where a limitation is prohibited, it applies only to the extent the law permits.

12. Governing Law + Disputes

These Terms are governed by the laws of Illinois, United States, without regard to conflict-of-law rules, except where mandatory law requires otherwise.

Please contact info@jdpallas.com first so that we can try to resolve a concern. This request does not prevent either party from seeking urgent relief, filing a regulatory complaint, or exercising a legal right within an applicable deadline.

Subject to mandatory jurisdiction rules, disputes arising under these Terms may be brought in the state or federal courts located in Cook County, Illinois. Nothing in these Terms requires arbitration or waives a right that cannot lawfully be waived.

13. Changes To These Terms

We may revise these Terms and will post the updated version with a new date. Changes apply prospectively. The version accepted when you made a booking governs that booking unless you agree to a change or applicable law requires otherwise. Changes to an existing signed engagement require the process specified in that agreement. We will obtain renewed agreement where required for a material change.

14. General Provisions

If a provision is held unenforceable, the remaining provisions continue in effect to the extent permitted by law. A delay in enforcing a right does not waive it. These Terms, together with any booking conditions you expressly accept, govern the website and strategy session matters they cover. Separate signed agreements govern the professional engagements they describe.
